Platform Terms

Welcome to Cooper, operated by CooperHire GmbH ("Cooper", "we", "us", or "our"). These Platform Terms ("Terms") govern your use of the Platform and our hirer-facing services, including Coo, our AI headhunter. By using the Platform or interviewing or working with a Job Seeker we Introduced to you, you agree to these Terms.

These Terms constitute a legally binding contract between CooperHire GmbH and the organisation you represent ("Hirer", "you", or "your"). You confirm that you are authorised to enter into these Terms on behalf of your organisation.

It is important to read these Terms carefully, especially sections 4 (Our obligations), 5 (Fees), 6 (Pre-existing Candidates), 7 (Your obligations), 13 (Indemnity), 14 (Liability), and 16 (Only these Terms apply).


1. About Us

Brand Name: "Cooper" is our operating brand. Any reference to "Cooper" shall be deemed a reference to CooperHire GmbH.


2. Hirers Only

These Terms apply only to companies using Cooper to hire Job Seekers. If you are a Job Seeker, please refer to the Job Seeker Terms that apply to your use of the Platform, including interaction with Coo, our AI recruiter.


3. How Cooper Works

Platform: Cooper provides AI-powered recruitment tools to help identify and match suitable talent for your open positions and facilitate Introductions to prospective candidates.

Coo: Coo is our AI recruiter and headhunter. Candidates speak with Coo to describe their goals and experience. On your side, Coo helps recommend top matches, speeds up screening, and generates shortlists.

You will need to create an account and accept these Terms before using the Platform.


4. Our Obligations

We provide you with access to the Platform (including Coo) and identify potential candidates using your job information. Coo may analyze Your Information and leverage AI to generate shortlists of recommended Job Seekers.

Platform is provided "as is":

  • We disclaim all implied warranties and do not guarantee any hiring result.
  • Due to the nature of large language models, suggestions may be speculative or inaccurate. These outputs do not constitute professional advice.
  • You are responsible for all decisions based on any suggestions made by the AI.

5. Fees

Success Fee – Employees

  • Amount: 10% of the Job Seeker’s first-year base salary (unless otherwise agreed).
  • Timing: Payable if you Engage a Job Seeker within 12 months of our Introduction.

Refund Guarantee

  • If a hired employee resigns or is dismissed within 3 months, we will refund the full success fee.
  • You must notify us in writing within 14 days of termination. Refunds are processed within 30 days.

Success Fee – Contractors

  • 10% of total compensation during the engagement (up to 12 months).
  • If the contractor is later converted into a full-time employee within 12 months, a 10% success fee on the salary applies.

Payment Terms

  • Invoiced when the contract is signed or upon discovery of the Engagement—whichever is sooner.
  • Payment due within 14 days. Late payments accrue 8% annual interest above the ECB base rate.
  • All fees are exclusive of VAT (if applicable).

6. Pre-existing Candidates

No fee is due if a candidate was already in your active recruitment pipeline (e.g. direct application or two-way contact) within 6 months prior to our Introduction.

To claim this, you must notify us in writing at [email protected] within 10 business days and provide reasonable written proof.

If you don’t notify us, we will assume Cooper’s Introduction was the cause of the hire.


7. Your Obligations

You agree to:

  • Disclose hires: Let us know if you hire a Job Seeker and share salary or contract terms.
  • Be honest: All info you provide must be accurate and complete.
  • Avoid misuse: Don’t harass, hack, or misuse the Platform.
  • Use only for internal hiring: The Platform is only for your own recruiting, not for third-party hiring or agency activity.
  • Respect data: Do not forward candidate data to third parties. Doing so may trigger success fee liability.
  • No circumvention: You agree not to bypass these Terms to avoid fees (including through affiliates or partners).
  • Protect your login: Keep your login details secure.
  • Follow the law: Comply with all relevant laws and regulations.

Final hiring decisions are yours:
The Platform assists with recommendations but all final hiring decisions must be made by your team.


8. Subcontracting

We may use third-party providers (including AI model providers such as OpenAI, Anthropic, Google, ElevenLabs, etc.) to operate the Platform. By using Cooper, you agree to their usage and content policies.


9. Changes

We may update the Platform or these Terms periodically. Major changes will be communicated with reasonable notice. Continued use after changes indicates your agreement to the new Terms.

We may also suspend or discontinue the Platform at any time without prior notice.


10. Intellectual Property

All Platform code, features, and outputs remain the property of CooperHire GmbH.

You may use the Platform as long as you comply with these Terms, but this right is non-transferable.

We may use Your Information to improve the Platform (e.g. training future AI models). We do not claim ownership of your data.

Any feedback you provide may be used freely by us to improve the product.


11. Confidentiality

Both parties agree to keep any confidential information shared via the Platform or through Introductions private, and only use it as needed to deliver or use the services.

Disclosure is allowed where legally required or necessary to deliver the Platform.


12. Data Protection

Your use of candidate data is governed by our Data Sharing Agreement, which forms part of these Terms.

Our Privacy Policy describes how we collect, use, and protect data.


13. Indemnity

You agree to indemnify CooperHire GmbH against any claims or damages resulting from your breach of these Terms.


14. Liability

We are only responsible for direct losses arising from our breach, and our maximum liability is capped at the amount of fees you’ve paid to us in the past 12 months.

We are not liable for indirect, consequential, or business losses.

We are also not liable for delays or failures caused by Force Majeure events (e.g. internet outages, regulatory changes, natural disasters).


15. Transfers

You may not transfer your rights under these Terms without our written consent.

We may assign our rights and obligations to another company, e.g. during a merger or acquisition.


16. Only These Terms Apply

These Terms (including the Data Sharing Agreement) make up the entire agreement between you and CooperHire GmbH. They override any prior arrangements or verbal understandings.

No platform videos, help guides, or AI conversations override these Terms.


17. No Third-Party Rights

Only CooperHire GmbH and you have rights under these Terms. No third party may enforce them.


18. No Waiver

If we delay enforcing these Terms, that does not mean we waive our right to enforce them later.


19. Governing Law & Jurisdiction

These Terms are governed by German law, and any disputes will be resolved in the courts of Berlin, Germany.


20. Definitions

Engage – To hire or contract a Job Seeker for work, directly or indirectly.
Introduction – When Cooper shares a Job Seeker’s profile with you.
Job Seeker – A candidate using the Cooper Platform.
Platform – Cooper’s web and mobile services, including the AI tools operated by CooperHire GmbH.
Suggestion – Any recommendation, match, or shortlist generated by the Platform or by Coo.
Your Information – All info you provide to Cooper about roles, hiring needs, or your organisation.


21. Interpretation

  • “Including” means “including without limitation.”
  • Headings are for readability only and not legally binding.
  • If a section is invalid, the rest remain in effect.
